1. DEFINITIONS AND INTERPRETATION

1.1 "Company", "We", "Us", or "Our" means B&J Supplies (operating as Pallet Storage Manchester).

1.2 "Customer", "You", or "Your" means the individual, business, or entity entering into an agreement with Us for storage, shipping, or fulfilment services.

1.3 "Goods" means any pallets, inventory, cartons, or items delivered to or stored at Our facility on Your behalf.

1.4 "Site" means Our warehouse facility located at 20-22 Mary Street, Manchester, M3 1DZ (or any alternative facility operated by Us).

1.5 "Services" means pallet storage, forklift handling, loading/unloading, shipping, freight forwarding, and order fulfillment/pick-and-pack services provided by Us.

2. SERVICES & PALLET REQUIREMENTS

2.1 Storage & Handling: We agree to receive, store, and handle Your Goods at Our Site using Our qualified staff and forklift equipment.

2.2 Pallet Standards: All Goods must be delivered on good, strong, undamaged standard pallets (e.g., UK Standard 1200x1000mm or Euro 1200x800mm) suitable for safe high-bay racking storage, and properly shrink-wrapped/banded.

2.3 Unsafe Pallets: If Goods arrive on broken, weak, or dangerous pallets, We reserve the right to refuse acceptance or re-palletise/restack the Goods at Your expense.

2.4 Fulfilment Services: Where agreed in writing, We may provide pick, pack, and shipping services for e-commerce orders in accordance with agreed service level agreements (SLAs).

3. ACCESS, DELIVERIES, AND COLLECTIONS

3.1 Advance Notice: You or Your designated couriers/hauliers must book a delivery or collection time slot at least one (1) working day (24 hours) in advance during standard operating hours.

3.2 Last-Minute Requests: Requests for same-day or last-minute collections/deliveries are strictly subject to staff availability and will incur an Express Handling Surcharge.

3.3 Warehouse Access & Safety: For health and safety reasons, Customer personnel and third-party drivers are strictly prohibited from entering the warehouse racking area or operating machinery. All loading and unloading from vans, lorries, or containers will be handled exclusively by Our trained personnel.

4. PROHIBITED GOODS

4.1 You strictly warrant that the Goods delivered to Us do not contain any of the following:

• Hazardous, toxic, flammable, or explosive materials/chemicals;

• Live animals, insects, or biological organisms;

• Illegal, stolen, or smuggled goods;

• Food products (including fresh, chilled, frozen, ambient, or packaged food/beverages);

• Any item emitting foul odours, liquids, or fumes.

4.2 If You breach this clause, We reserve the right to immediately remove or dispose of the prohibited items at Your full expense, report illegal items to relevant authorities, and terminate the contract immediately.

5. RATES, INVOICING, AND PAYMENT TERMS

5.1 Minimum Term: The minimum storage charge period is one (1) week per pallet. Storage fees apply to every full or partial week a pallet occupies space.

5.2 Invoicing: Invoices are issued monthly or on a fixed term basis in advance for storage fees, and in arrears for handling, shipping, or fulfilment surcharges.

5.3 Payment Terms: Payment is due immediately upon receipt of invoice via Direct Debit, Bank Transfer, or Debit/Credit Card.

5.4 Late Payments: If payment is not received on the due date, we reserve the right to:

• Charge interest on overdue balances at the statutory rate of 8% above the Bank of England base rate;

• Charge a standard late payment administrative fee of £15 + VAT per late invoice;

• Suspend all shipping, handling, pick & pack, and pallet collection services until all outstanding balances are cleared in full.

6. INSURANCE AND LIMITATION OF LIABILITY

6.1 Customer Insurance Obligation: We do not provide insurance cover for Your Goods. It is a strict condition of this Agreement that Your Goods remain fully insured at all times against all risks (including fire, theft, flood, accidental damage, and transit) for their full replacement value by Your own reputable insurer.

6.2 Limitation of Company Liability: We shall only be liable for physical loss or damage to Goods directly caused by the proven negligence or willful misconduct of Our employees while handling the Goods. Our maximum aggregate liability is capped at £100 per pallet or the actual value of the damaged item (whichever is lower).

6.3 Consequential Loss: We accept no liability under any circumstances for loss of profit, loss of revenue, business interruption, or indirect/consequential losses.

7. LIEN AND RIGHT TO SELL UNPAID GOODS

7.1 Right of Lien: We have a contractual and legal General Lien over all Goods stored at Our Site for any unpaid storage, handling, shipping, or administrative fees owed by You.

7.2 Withholding Access: While any debt remains outstanding, We have the right to refuse to release or ship any Goods.

7.3 Power of Sale: If an invoice remains unpaid for 28 days following notice of default, We reserve the right to sell or auction some or all of the Goods to recover the outstanding debt, reasonable legal costs, and disposal/sale fees. Any remaining balance after debt clearance will be returned to You without interest.

8. TERMINATION OF CONTRACT

8.1 Contract Cancellation: Either party may terminate this storage agreement by giving 28 days (1 month) written notice to the other party.

8.2 Final Collection: All outstanding invoices must be paid in full prior to the final removal of Goods from Our Site. Goods remaining after the 28-day notice period will continue to accrue standard storage fees until fully removed.

9. GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the Laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English Courts.
